1. Acceptance of our Terms By visiting the website FINDYOURFOOTING.COM, viewing, accessing or otherwise using any of the services or information created, collected, compiled or submitted to FINDYOURFOOTING.COM, you agree to be bound by the following Terms and Conditions of Service. If you do not want to be bound by our Terms your only option is not to visit, view or otherwise use the services of FINDYOURFOOTING.COM. You understand, agree and acknowledge that these Terms constitute a legally binding agreement between you and FINDYOURFOOTING.COM and that your use of FINDYOURFOOTING.COM shall indicate your conclusive acceptance of this agreement. 2. Provision of Services You agree and acknowledge that FINDYOURFOOTING.COM is entitled to modify, improve or discontinue any of its services at its sole discretion and without notice to you even if it may result in you being prevented from accessing any information contained in it. Furthermore, you agree and acknowledge that FINDYOURFOOTING.COM is owned by a parent company Find Your Footing LLC. Find Your Footing LLCis entitled to provide services to you through FINDYOURFOOTING.COM, subsidiaries or affiliated entities. 3. Proprietary Rights You acknowledge and agree that FINDYOURFOOTING.COM may contain proprietary and confidential information including trademarks, service marks, copyrights and patents protected by intellectual property laws and international intellectual property treaties. FINDYOURFOOTING.COM authorizes you to view and make a single copy of portions of its content for offline, personal, non-commercial use. Our content may not be sold, reproduced, or distributed without our written permission. Any third-party trademarks, service marks and logos are the property of their respective owners. Any further rights not specifically granted herein are reserved. 4. Submitted Content When you submit content to FINDYOURFOOTING.COM you simultaneously grant FINDYOURFOOTING.COM an irrevocable, worldwide, royalty free license to publish, display, modify, distribute and syndicate your content worldwide. You confirm and warrant that you have the required authority to grant the above license to FINDYOURFOOTING.COM. In creating an account on FINDYOURFOOTING.COM, certain information from your Profile about you or your company may be displayed. You agree that you will provide accurate and up-to-date information about you and your company/organization in your Profile and that you will update your Profile to keep it current. You agree that you alone are responsible for the content of your Profile and any other content that you upload, publish or post. You agree that you will not post/distribute content that you do not have permission to post or that you did not create. You acknowledge and agree that FINDYOURFOOTING.COM has the right to remove any content for any or no reason, that FINDYOURFOOTING.COM has no obligations to store or backup user content. FINDYOURFOOTING.COM does not verify the accuracy of the content submitted by users including any claims by Listers/Advertisers. You agree to use FINDYOURFOOTING.COM per the Terms of Service and that any submitted content does not infringe upon the rights of any third party and that the submitted content will not contain any unlawful material including but not limited to libelous or defamatory material. You agree that you will not solicit or submit shill reviews or trade reviews with other users and you will behave respectfully and truthfully in all submissions on the website. 5. Registration data By registering for and using the FINDYOURFOOTING.COM service, you agree to (a) provide current, accurate and complete data about you and your organization in the registration forms provided on the FINDYOURFOOTING.COM site; (b) update the information you provide as changes occur; (c) keep your password as well as any other information related to the security of your account confidential; (d) be solely responsible for the use of your account including any actions that take place in the name of your account. If you are representing a company or organization in your use of the FINDYOURFOOTING.COM service, you warrant that you are authorized to enter into binding agreements on behalf of your company. FINDYOURFOOTING.COM may terminate your access to your account if FINDYOURFOOTING.COM has reason to believe that you do not have the authority to act on behalf of the company/organization that you claim the authority from. 6. Payment for Listing/Advertising Services To Get Listed or to advertise on FINDYOURFOOTING.COM, you will be required to create an account and to make monthly payments. Payment amounts will be determined by the services that you sign up for per the chart on the “Get Listed” page. Signing up for the services constitutes an agreement by you to use the services of PayPal to pay for these services on a monthly basis using an automatic payment system for a minimum of three months. The monthly fee must be paid by credit card and is due on the first of each month. All fees paid by you are non-refundable. FINDYOURFOOTING.COM reserves the right to change the fees charged for the listing/advertising fees at any time. FINDYOURFOOTING.COM may charge you interest on any payments that are not paid when due at the rate of two percent (2%) per month from the date that such payments were due. FINDYOURFOOTING.COM may elect to terminate your access to the service and your account if you fail to pay the fees set forth by the agreement by the due dates or if you violate the Terms of Service. 7. Eligibility The FINDYOURFOOTING.COM site is intended solely for the use of individuals who are 18 years of age or older. Any use of the site or access/registration to accounts by individuals under the age of 18 years violates these Terms of Service and is unauthorized. By using the service, you warrant that you are 18 years of age or older. 8. Termination of Agreement The Terms of this agreement will continue to apply in perpetuity until terminated by either party without notice at any time for any reason. Terms that are to continue in perpetuity shall be unaffected by the termination of this agreement. 9. Disclaimer of Warranties You understand and agree that your use of FINDYOURFOOTING.COM is entirely at your own risk and that our services are provided "As Is" and "As Available". The information on this website is published for general information purposes only and in good faith. FINDYOURFOOTING.COM does not make any express or implied warranties, endorsements or representations whatsoever as to the operation of the FINDYOURFOOTING.COM website, information, content, materials, or products. This shall include, but not be limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement, and warranties that access to or use of the service will be uninterrupted or error-free or that defects in the service will be corrected. Nor does FINDYOURFOOTING.COM make warranties about the completeness, reliability, or accuracy of the information presented on the website. 10. Limitation of Liability You understand and agree that FINDYOURFOOTING.COM and its parent company Find Your Footing LLC, any of its subsidiaries or affiliates, and any of its directors, employees, or agents shall in no event be liable for any direct, indirect, incidental, consequential, or exemplary damages. This shall include, but not be limited to damages for loss of profits, business interruption, business reputation or goodwill, loss of programs or information or other intangible loss arising out of the use of or the inability to use the service, or information, or any permanent or temporary cessation of such service or access to information, or the deletion or corruption of any content or information, or the failure to store any content or information. The above limitation shall apply whether or not FINDYOURFOOTING.COM and its parent company Find Your Footing LLC have been advised of or should have been aware of the possibility of such damages. In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not allowed, the liability of FINDYOURFOOTING.COM and its parent company Find Your Footing LLC is limited to the greatest extent permitted by law. You agree that FINDYOURFOOTING.COM and its parent company Find Your Footing LLC are not liable or responsible in any way for any damage or loss resulting from your communication/dealings with other users including damages/losses from using services/products from those users. You agree that you alone are responsible for any communications/dealings that you have with other users. FINDYOURFOOTING.COM and its parent company Find Your Footing LLC reserve the right to watch any disputes that arise between users on the site. You agree to indemnify and hold FINDYOURFOOTING.COM and its parent company Find Your Footing LLC harmless from any loss, expenses, costs, damages, liability resulting from any content that you post or distribute on FINDYOURFOOTING.COM or any user interactions or any violation of the Terms of Services or laws/rights of any third party. 11. External Content FINDYOURFOOTING.COM may include hyperlinks to third-party content, advertising or websites. You acknowledge and agree that FINDYOURFOOTING.COM is not responsible for and does not endorse any advertising, products, content, or resource available from such resources or websites. Jurisdiction You expressly understand and agree to submit to the personal and exclusive jurisdiction of the courts of the country, state, province or territory determined solely by FINDYOURFOOTING.COM and its parent company Find Your Footing LLC to resolve any legal matter arising from this agreement or related to your use of FINDYOURFOOTING.COM. If the court of law having jurisdiction, rules that any provision of the agreement is invalid, then that provision will be removed from the Terms and the remaining Terms will continue to be valid. 13. Entire Agreement You understand and agree that the above Terms constitute the entire general agreement between you, FINDYOURFOOTING.COM and its parent company Find Your Footing LLC. You may be subject to additional Terms and conditions when you use, purchase or access other services, affiliate services or third-party content or material. 14. Changes to the Terms FINDYOURFOOTING.COM reserves the right to modify these Terms from time to time at our sole discretion and without any notice. Changes to our Terms become effective on the date they are posted and your continued use of FINDYOURFOOTING.COM after any changes to Terms will signify your agreement to be bound by them. |
